TransBridge Advisors Flags Five US Licensing Traps for Fintechs

The core argument is structural: the US is a fragmented regulatory environment in which the same product can generate different obligations depending on how funds move, which entities hold them, and where customers are physically located. A business holding a single national licence elsewhere may need federal compliance, state authorisations, banking arrangements, and ongoing maintenance obligations in the US, each with its own cost and sequencing dependency.

TransBridge identifies FinCEN registration as the most common source of confusion. Registration as a Money Services Business under the Bank Secrecy Act establishes federal anti-money laundering obligations, but it is not a nationwide money transmission licence. Whether a company also needs state-level money transmitter authorisations depends on the activities performed, the operating structure, and the laws of each relevant jurisdiction. That distinction, the firm says, typically surfaces late, during bank onboarding or investor due diligence, rather than at the design stage.

The second error is building a product architecture before assessing its regulatory perimeter. A cross-border payments platform and a software provider to a licensed institution may appear similar to the customer but face materially different licensing analysis. The same product combined with stablecoin settlement or digital asset custody could trigger an additional set of requirements. TransBridge argues that commissioning a regulatory perimeter assessment while the operating model is still flexible is considerably cheaper than renegotiating commercial agreements or redesigning transaction flows after they are in place.

Third, the firm warns that the cost of a multi-state licensing programme is routinely underestimated. Filing fees are visible; the management time, surety bond obligations, minimum net worth requirements, compliance system builds, and extended regulatory correspondence are less so.
