Anthropic filed an S-1 with the SEC for a proposed IPO and said it plans to list Class A shares on Nasdaq under the symbol ANT.
Anthropic filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission on Oct. 26, 2026, taking the first formal step toward a proposed initial public offering of its Class A common stock, according to the company. The filing matters because it signals the start of the public-market review process, although key terms of the offering have not yet been set.
In its announcement, Anthropic said it intends to list its Class A common stock on the Nasdaq Global Select Market under the symbol ANT. The company said the number of shares to be offered and the price range have not yet been determined. It added that the proposed offering will be made only by means of a prospectus, and that a preliminary prospectus will be available later if the registration statement progresses.
The company also said the registration statement has been filed with the SEC but has not yet become effective. Under the filing, the securities may not be sold and offers to buy may not be accepted until the registration statement is effective. Anthropic said the announcement does not constitute an offer to sell or a solicitation of an offer to buy these securities.
Anthropic describes itself as an AI safety and research company focused on building reliable, interpretable and steerable AI systems. Background material reviewed with the filing identifies Anthropic as a public benefit corporation founded in 2021 by former OpenAI researchers and leaders, including siblings Dario and Daniela Amodei.
