Freshworks to acquire Torii to expand Freshservice into AI spend governance

Freshworks has signed a definitive agreement to acquire Torii, a SaaS management platform, as it looks to expand its Freshservice offering into software spend management and AI governance.

The proposed acquisition aims to give businesses a unified view of their software applications, licences, user identities and AI usage, helping IT and finance teams monitor costs, reduce waste and manage security risks associated with unregulated software and AI tools.

As companies increasingly adopt subscription-based software and AI applications, organisations are facing challenges in tracking usage and managing costs. AI tools, in particular, introduce consumption-based pricing models that can make expenditure difficult to forecast and control.

Integrating Torii with Freshservice is expected to help businesses track software usage, identify underutilised licences and monitor AI consumption at the token level. The platform will also enable companies to attribute AI costs to individual employees and teams, forecast future spending and establish usage limits.

"Modern IT teams are being asked to govern more of the business than ever, with less visibility into what it costs," said Dennis Woodside, CEO and President of Freshworks. "Freshservice already gives IT one place to see everything they run. With Torii, that same view now extends to software and AI spend — what's running, who's using it, and what it costs, so finance and IT stop reconciling spreadsheets and start making decisions together. As AI moves from experiment to infrastructure, Freshservice is how modern IT can govern it at scale."

"AI and the software behind it are changing how every team works, and most CIOs still can't see it, let alone control it," said Uri Haramati, CEO of Torii.
