The issue comprises 106,383,000 new shares priced at AED 16.45 each, made up of a nominal value of AED 1 and a share premium of AED 15.45. Eligible shareholders will be entitled to subscribe for roughly one new share for every 34.14 shares held. The issue price represents a discount of approximately 28.8% to ADIB’s closing share price on the Abu Dhabi Securities Exchange on 24 August 2026. On completion, ADIB’s issued and paid-up share capital will rise from AED 3.632 billion to AED 3.738 billion.
Group chief executive Mohamed Abdelbary said the bank had surpassed AED 300 billion in total assets and saw meaningful scope to expand core businesses, deepen customer relationships, and accelerate its digital and AI capabilities. “The additional equity will provide greater capacity to fund this growth while maintaining capital strength,” he said. “Our focus is on deploying that capital with discipline to deliver sustainable returns for shareholders.”
ADIB’s headline metrics underpin the logic of the raise. Total assets reached AED 304 billion at the end of the first half of 2026, after 24% asset growth across the whole of 2025. Return on equity held at 28% in 2024, rose to 29% in 2025, and remained at 28% through the first half of 2026. Those figures are notably high by global banking standards and suggest the bank is seeking fresh equity not because profitability is under pressure, but because it wants additional headroom to grow its risk-weighted asset base without compressing its capital ratios.
Chairman Jawaan Awaidah Al Khaili said the shareholder vote reflected confidence in the bank’s franchise and its ability to deliver sustainable growth.
