The pair of licences have distinct but complementary scopes. A Fiduciary Licence covers corporate administration, directorship and governance services for the vehicles Ctrl Alt structures. A Protection of Investors Licence permits the firm to act as registrar and digital transfer agent for investment fund and vehicle interests, covering subscription processing, administration and the maintenance of ownership registers. Ctrl Alt says the two capabilities together span the full operational lifecycle of a tokenised asset, from structuring and issuance through to ongoing administration and distribution.
The digital transfer agency function is the more structurally notable of the two. Ownership registers have historically been maintained by third-party administrators using manual processes, creating a split between the on-chain token record and the off-chain legal register. Ctrl Alt says that by embedding distributed ledger technology directly into the register and administration process, it can hold the digital register as the authoritative record of legal ownership. That removes a handoff that has, in practice, slowed settlement and complicated reconciliation for many tokenised fund structures.
Matt Ong, founder and chief executive of Ctrl Alt, said: “That removes a layer of friction that has slowed alternatives for years.” Ong described the Guernsey authorisation as a deepening of an existing relationship rather than a new market entry, and said the fiduciary and transfer agency services will initially support Ctrl Alt’s own tokenisation programmes rather than being offered as standalone services to third parties.
The GFSC authorisation follows the Central Bank of Ireland granting Ctrl Alt a MiFID II investment firm registration, announced last month, and sits alongside existing FCA authorisation in the UK and a Virtual Asset Service Provider licence from Dubai’s Virtual Assets Regulatory Authority , where the company holds the distinction of being the first VASP licensed specifically for Issuer services.
